This document sets out Ferchonte's use and disclosure of Confidential Client Information. By accessing such information, Ferchonte (The Company) agrees to abide by the terms and conditions of this document.
1. Definition
1.1. Confidential Information means any technical, financial, strategic, commercial or any other information that the Client discloses to the Company, whether orally, in writing, electronically or in any other way, that is marked as confidential or that, by its nature, should be considered confidential.
2. Obligations of the Company
2.1. Confidentiality: The Company undertakes to maintain in strict confidence and not to disclose to third parties any Confidential Information provided by the Client, except with the express written authorization of the Client or as required by law.
2.2. Restricted Use: The Company will use Confidential Information only for the purpose of carrying out the necessary configuration of management and implementation of the system, as well as to provide support and maintenance of the system, and any other type of provision of services in which the client necessarily has to provide us with confidential information.
2.3. Protection of Confidential Information: The Company will take reasonable measures to protect Confidential Information, including, but not limited to, physical and electronic security measures.
2.4. Disclosure to Employees and Advisors: The Company will only disclose Confidential Information to its employees or advisors who have a legitimate need to know such information and who are subject to confidentiality obligations.
3. Duration
3.1. Term: This Agreement will begin to apply upon acceptance of the established quote and payment and will continue in force for a period of 3 years from the date of termination or completion of the business relationship or project related to the Confidential Information.
4. Return or Destruction of Confidential Information
4.1. Return or Destruction: Upon request of the Client or upon termination of the term of this Agreement, the Company will return all Confidential Information received or, at the option of the Client, destroy it in a secure manner, as set forth in the offer (Terms and Conditions of the particular project).
5. Exceptions
5.1. Exceptions to Confidentiality: Confidentiality obligations shall not apply to Confidential Information that:
a. Is already publicly known or becomes publicly known through no breach of this Agreement by the Company.
b. Was independently known to the Company prior to its receipt from the Client.
c. Is disclosed to the Company by a third party who has no confidentiality restrictions with respect to such information.
d. Is required by law or by a court of competent jurisdiction.
6. Applicable Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of Argentina. Any dispute arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of the jurisdiction that corresponds to the Company.
